Standard terms of trade
In these Terms of Trade we have used “we”, “us” and “our” to refer to TELLTALE and “you” and “your” to refer to our Customer. By ordering work from us, you agree to these following Terms of Trade.
Estimates: Unless stated otherwise, any price we give you for Work is an estimate of the anticipated cost for us to complete that Work. The estimate is an interpretation of your instructions both written and verbal (the “Brief”). Customers are therefore advised to carefully check estimates. Acceptance of the estimate will lapse if not accepted within 30 days.
Variations/Alterations: All estimates are based on the conditions and specifications in the estimate. The estimate covers all work including colour, paper, stock, delivery etc. to complete the job. Any variation or alteration to the original Brief will make the estimate subject to amendment.
Colour Proofs: There is no guarantee that the production prints will exactly match the colour proofs. We will always endeavour to provide a high quality and acceptable finished product.
Proof Approval: We are not liable for errors in the finished work when a final proof – be it digital or physical has been approved by you.
Customer Property: We will take all reasonable steps to ensure the care of your property. We will not be responsible for insurance cover unless agreed to in writing. We will return client property at the completion of the work.
Ownership of Artwork: Ownership of finished artwork will be passed on upon payment of the final invoice. Otherwise ownership of artwork will remain our property, unless artwork has been supplied by you.
Electronic Images and Files: It is the customer’s responsibility to retain a copy of any images or files supplied. Extra charges apply should files or images require retrieval from archive, additional translating or editing.
Termination of Contract: In the event these Terms of Trade are terminated prior to completion of the Work, you must immediately pay us the Actual Cost at the termination date. Actual Cost will be calculated by totalling the number of hours of service by the hourly rates of the workers involved up to the date the Work is terminated. It will also include any disbursements and cost of any goods incurred by us on your behalf.
Illegal or Libellous Material: We will not reproduce any material that is illegal or libellous in any nature or that is in breach of any statute. Telltale Interpretation will be indemnified by the customer in respect of any claims, costs and /or expenses arising out of any libel or breach of stature or infringement of copyright, patent or design.
Suppliers Liability: We will not be liable for any direct or inconsequential loss to the customer arising from third party claims occasioned by errors in the work or by delay in the delivery. No warranty is given or responsibility accepted by us to ensure that goods produced comply with the requirements of any legislation relating to the marketing and/or labelling and/or packaging of the goods. Compliance with any such legislation is the customer’s responsibility. We shall not be responsible for any delay, default, loss or damage due to any industrial disputes, accidents, acts of God, equipment failure or mischievous damage or other caused beyond their control.
Confidentiality and Intellectual Property: Telltale Interpretation agrees to hold in confidentiality any information or trade secrets in trust and confidence and agrees that it shall only be used for the purpose intended.
Terms of Payment: Payment for Work (and any associated expenses and disbursements) is due on or before the 20th day of the month following an invoice except where we have agreed in writing that other terms shall apply. If you do not make payment on the Due Date, you are in default and must pay default interest at the rate of 1.5% per month of the total amount outstanding from the Due date to the date of payment in full. If necessary, any commission or legal costs relating to debt collection will be added to the clients invoice and will become the financial responsibility of the client.
GST: All estimates and costs are exclusive of Goods and Services Tax. GST is payable by New Zealand clients only.
